Terms of Service

These Terms of Service ("Terms") govern your access to and use of Zenith Hosting, a service operated by GOATech Inc., a Delaware corporation ("GOATech", "we", "us", or "our"). By creating an account or using our service, you agree to be bound by these Terms.

1. Eligibility

You must be at least 13 years old to use Zenith Hosting. If you are between 13 and 18 years old, you represent that your parent or legal guardian has reviewed and agrees to these Terms on your behalf and is responsible for your use of the service. We do not knowingly collect personal information from children under 13.

2. Accounts

You are responsible for maintaining the security of your account credentials. You must provide accurate information when creating an account. You may not share your account with others or create multiple accounts. We reserve the right to suspend or terminate accounts that violate these Terms.

3. Service Description

Zenith Hosting provides managed hosting for ZenithProxy, a Minecraft proxy and bot application. We deploy and manage containerized instances on your behalf. The service is provided on an "as-is" and "as-available" basis. We do not guarantee uninterrupted or error-free operation.

4. Acceptable Use

You agree not to use Zenith Hosting to:

  • Violate any applicable laws or regulations
  • Violate the terms of service of any game server or third-party service you connect to
  • Harass, abuse, or harm other users or third parties
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the service or its infrastructure
  • Use the service for any illegal or unauthorized purpose

We reserve the right to suspend or terminate your account and instances if we determine, at our sole discretion, that you have violated this policy.

5. Payments and Billing

Zenith Hosting uses a prepaid balance model. You add funds to your account balance, and hosting fees are deducted automatically. All payments are processed through Stripe. By adding a payment method, you agree to Stripe's terms of service.

Pricing: Current pricing is published on our website and may change at any time at our sole discretion. We will make reasonable efforts to notify you of pricing changes through our website, dashboard notifications, or email, but are not obligated to use any specific notification method. Pricing changes take effect at the start of your next billing cycle following the change. Any payment made after a pricing change—whether manual or automatic—or continued use of the service constitutes acceptance of the new pricing. If you do not agree to a pricing change, you must cancel your service before your next billing cycle.

Refunds: Refunds are issued at GOATech's sole discretion. If you believe you are entitled to a refund, contact us at [email protected]. We are under no obligation to issue refunds but will consider reasonable requests.

Suspension for non-payment: If your account balance is insufficient to cover renewal fees, your instances may be suspended. Suspended instances will be automatically restored when sufficient balance is available. We reserve the right to delete suspended instances and their data after an extended period of non-payment.

6. Data and Content

You retain ownership of any configuration and data stored within your instances. We do not claim ownership of your content. However, you grant us the right to store, process, and transmit your data as necessary to provide the service.

We are not responsible for any loss of data. You are responsible for maintaining your own backups.

7. Limitation of Liability

To the maximum extent permitted by law, GOATech Inc. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of or related to your use of the service, regardless of the theory of liability.

Our total liability to you for any claims arising from or related to the service shall not exceed the amount you have paid us in the 12 months preceding the claim.

8. Disclaimer of Warranties

The service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, secure, or error-free.

9. Indemnification

You agree to indemnify and hold harmless GOATech Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the service or violation of these Terms.

10. Modifications

We may modify these Terms at any time at our sole discretion. We will make reasonable efforts to notify you of changes through any combination of: updating the "Last updated" date on this page, posting notices on our website, dashboard notifications, or email. For material changes, we will provide at least 30 days' notice before the changes take effect.

Your continued use of the service, maintenance of an active account, or any payment (manual or automatic) after the effective date of updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the service and close your account before the effective date.

11. Termination

You may close your account at any time. We may suspend or terminate your access to the service at any time, with or without cause, with or without notice. Upon termination, your right to use the service ceases immediately. Provisions that by their nature should survive termination (including limitation of liability, indemnification, and dispute resolution) will survive.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions.

13. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.

Informal resolution first: Before initiating any formal dispute proceeding, you agree to contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days. Most disputes can be resolved this way.

Binding arbitration: If we cannot resolve a dispute informally, you and GOATech agree that any dispute, claim, or controversy arising out of or relating to these Terms or the service shall be resolved exclusively through final and binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration will be conducted in English. The arbitrator's decision will be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class action waiver: You and GOATech agree that disputes will be resolved only on an individual basis and not in any class, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding. If this class action waiver is found to be unenforceable, then the entirety of this arbitration section shall be null and void.

Arbitration fees: If you initiate arbitration, GOATech will cover all AAA filing and arbitration fees beyond the initial filing fee (currently $25 for claims under $10,000 under AAA Consumer Rules). Each party bears its own attorneys' fees.

Exceptions: Either party may bring a claim in small claims court if it qualifies. Either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement or misappropriation of intellectual property rights.

Opt-out: You may opt out of this arbitration agreement by sending written notice to [email protected] within 30 days of creating your account. Your notice must include your username and a clear statement that you wish to opt out of arbitration. If you opt out, disputes will be resolved in the state or federal courts located in Delaware.
